The agreement
These terms are between Empower GME and the sponsoring institution (the "Customer") that subscribes to the service. Individual users access the service under the Customer's account and are bound by the Customer's acceptable-use obligations under these terms.
Subscription & billing
Subscriptions are billed annually based on the Customer's program-count tier, plus a one-time implementation fee. Renewal, cancellation, refund, and price-change terms are set out in the Customer's order form.
Data ownership
The Customer owns all data it enters into or uploads to Empower GME. We are granted only the license needed to operate the service on the Customer's behalf.
Availability
We use commercially reasonable efforts to keep the service available and to notify Customers of planned maintenance. This is not a guaranteed uptime SLA at this stage of the product.
Confidentiality & IP
Each party will protect the other's confidential information. The Empower GME software, and all improvements to it, remain our intellectual property; the Customer's data remains the Customer's.
Limitation of liability
To the maximum extent permitted by law, Empower GME's liability under these terms is limited, and neither party is liable for indirect or consequential damages. The service is provided without warranties beyond those expressly stated in the Customer's order form.
Not a substitute for institutional judgment
Empower GME helps organize and track accreditation-related information. It does not replace the institution's own accreditation, legal, or compliance judgment, and does not guarantee any particular accreditation outcome.
Termination
On termination, the Customer has a defined window to export its data, after which it is deleted from active systems, subject to backup retention schedules.
Governing law
These terms are governed by the law specified in the Customer's order form, with disputes resolved in the venue specified there.
